Terms of Service Agreement: Terms of Service ---------------- The following are the Terms and Conditions of Service of CleanMyMailbox as maintained by: Permission Technologies 4811 Wardsville Rd., Suite A Jefferson City, MO 65101 Defintions: Provider - CleanMyMailbox.com or CMM User - Person establishing service with Provider BY CLICKING ON THE CHECKBOX BELOW, YOU INDICATE THAT YOU AGREE TO ALL TERMS OF THIS SERVICE, AND CONSENT TO BE BOUND BY AND ARE BECOMING A PARTY TO THIS AGREEMENT WHICH GOVERNS THIS SERVICE. ACCEPTANCE IS EXPRESSLY LIMITED TO THESE TERMS. Provider MAY MODIFY ANY OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, AT ANY TIME, AND IN OUR SOLE DISCRETION, BY POSTING A CHANGE NOTICE OR A NEW AGREEMENT ON OUR WEB SITE AND/OR BY EMAIL COMMUNICATION. YOUR CONTINUED USE OF THE SERVICE FOLLOWING OUR POSTING OF A CHANGE NOTICE OR NEW AGREEMENT ON WEB OUR SITE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE. Provider HOLDS THE RIGHT TO CANCEL A USER'S ACCOUNT AT ITS SOVEREIGN DISCRETION. IF THE TERMS OF THIS AGREEMENT WERE NOT VIOLATED BY THE User, THEN A PRO-RATED REFUND WILL BE GIVEN TO THE User FOR ANY UNUSED PORTION OF TIME OUTSTANDING ON User's PERIOD OF PURCHASED USE. 1. TERMS OF USE Provider may restrict, suspend or terminate User's access to any aspect or all of the Content or Service at any time without liability. Provider reserves the right to modify or suspend the Service at any time within Provider's sole discretion. User acknowledges that Content availability is subject to change at our sole discretion. 2. RESERVATION OF RIGHTS The Content of Provider's web site is protected by the copyright laws of the United States and international copyright treaties. As between the parties, title, ownership rights, and intellectual property rights in and to the Content, and any copies or portions thereof, shall remain the Provider's. Provider shall retain all rights to the Content and Services not expressly granted to User under Section 1 of this Agreement. User agrees not to do anything contesting or impairing the rights of Provider in and to any of the Content and Services. 3. USAGE RESTRICTIONS Our service will automatically deactivate for any mailbox that contains a filtered email file with a size greater than 10 Megabytes. This protects us against those who would use our service simply to clean bounce-back messages from their mailbox. Such mailboxes are questionable in nature and, in our view, severely compromised. Additionally, Provider reserves the right to refuse service or deactivate accounts of Users whose mailbox activities are related to adult materials, or any other content that Provider deems objectionable. Any fraudulent, abusive, or otherwise illegal activity may be grounds for termination of this Agreement. If User attempts to tamper, hack, spoof, use robots or scripts, copy, distribute, modify, or otherwise corrupt the administration, security, or proper function of any part of the Service or the Content, then, in addition to termination of this Agreement, User will be subject to appropriate legal and equitable action. 4. CONFIDENTIALITY As part of the registration process, User will receive a unique User ID. User's ID is personal to User; User may not allow anyone else to use User's User ID, and User may not use anyone else's User ID. User is responsible for keeping this User ID confidential. We will not be liable for losses that User might suffer through the use of User's User ID by a third party. 5. WARRANTY DISCLAIMER The Service may contain links to sites on the Internet which are not owned and operated by Provider. User acknowledges that Provider is not responsible for the availability of, or the content located on or through, any External Site. User should contact the site administrator or Webmaster for those External Sites if any concerns regarding such links or the content located on such External Sites should arise. Provider makes no representations concerning any third party Content and will not be responsible or liable for the accuracy, copyright compliance, legality or decency of any Content or any interruption in Service. Provider PROVIDES THE CONTENT AND SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, AND Provider HEREBY DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, PERFORMANCE, ACCURACY, RELIABILITY, AND NON-INFRINGEMENT. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THIS AGREEMENT. 6. LIMITATION OF LIABILITY UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE, SHALL Provider BE LIABLE TO User OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST EMAIL, LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF SERVICES, CONTENT OR RESULTS, COMPUTER FAILURE OR MALFUNCTION, DAMAGES RESULTING FROM DISABLING OF THE SERVICE, COST OF PROCUREMENT OF SUBSTITUTE GOODS, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. EVEN IF Provider SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO User. IN SUCH JURISDICTIONS, THE LIABILITY OF THE PROVIDER AND THEIR RESPECTIVE AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW. 7. INDEMNITY User hereby agrees to fully indemnify, defend and hold Provider and their respective affiliates, officers, directors and licensors harmless from and against any and all claims, liability, losses, costs and expenses (including attorneys' fees) incurred by Provider in connection with: (i) any use or alleged use of the Service through User's account by any person, whether or not authorized by User; or (ii) any breach of Sections above. Provider reserves the right, at own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by User, and in such case, User agrees to cooperate with the Provider's defense of such claim. 8. TERMINATION The term of this Agreement will begin when User checks the "I accept all Terms of Service as displayed above." checkbox on this Page and will continue until terminated in accordance with this Section. Unless otherwise agreed to by Provider, User may terminate this Agreement and the license granted herein at any time. Unless otherwise agreed to by Provider, Provider may restrict, suspend or terminate the Service, this Agreement, the license granted herein, or User's access to any aspect or all of the Content or Service at any time without liability. 9. MISCELLANEOUS This Agreement represents the complete agreement concerning this license between the parties and supersedes all prior agreements and representations between them. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable. This Agreement shall be governed by and construed under the internal laws and jurisdiction of the State of Missouri, USA. If any provision is held by a court of competent jurisdiction to be contrary to law, such provisions shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of this Agreement shall remain in full force and effect. Provider may assign or sublicense this Agreement. User may not assign this Agreement without Provider's prior written consent; any assignment by User without such consent shall be null and void. Each party shall be responsible for compliance with all applicable laws, rules and regulations, if any, related to the performance of its obligations under this Agreement. Neither party will be liable for any failure to perform any obligation (other than payment obligations) hereunder, or from any delay in the performance thereof, due to causes beyond its control, including industrial disputes of whatever nature, acts of God, public enemy, acts of government, force majeure, failure of telecommunications, fire or other casualty. Provider is not responsible for any costs or liability associated with making a connection (by any means) to the Internet, the Service or other online service, or network. This Agreement is void where prohibited by law, and the right to access the Content is revoked in such jurisdictions. The sections headings appearing in this Agreement are inserted only as a matter of convenience and shall not be interpreted as substantive. I accept all Terms of Service as displayed above.
